Legal reqs for dormant company - UK Business Forums

Having decided that it makes more sense to freelance as a sole trader, I called HMRC and made the company dormant because I have future plans for it.

I wanted to reserve the company name because I plan on getting together a team within the next 18 months to create an online CMS boutique for businesses. So it's dormant, rather than just dissolved.

In the meantime I've registered as a sole trader for freelancing purposes.

What do I need to do to uphold my legal responsibilities as far as the company is concerned? I understand I should be sending in the company accounts etc, but what about resolutions, etc? I'm a bit confused about these.

The company hasn't traded although it had a few expenses (which I've closed so there is nothing going through the books).

Top finance gurus make annual pilgrimage to Grand Lake Stream ...

GRAND LAKE STREAM, Maine ? This little plantation of 109 people in Washington County is known mostly for the great fishing, hunting and other activities it offers to the flocks of outdoorsmen who travel here every year.

But if a recent tradition continues, it also will be the go-to destination for vacationing economists and finance industry insiders, some of whom have gathered at Leen?s Lodge on the shores of West Grand Lake every year for the past two decades.

David Kotok, chairman and chief information officer of Cumberland Advisors in Sarasota, Fla., has been traveling to Grand Lake Stream for 20 years. He began bringing fellow economists along shortly after, and the event has grown ever since. This year, about 50 economists, financial advisers, analysts, hedge fund managers and bankers from around the world arrived with Kotok for the four- to five-day excursion.

They were joined by Gov. Paul LePage and a slew of reporters and news crews from national media outlets, including Bloomberg, National Public Radio, the Wall Street Journal and Dow Jones News. The journalists punctuated the would-be vacation with interviews and news segments shot lakeside.

Kotok said the retreat is a time for the top minds in economics and financial markets to get together to candidly talk shop, debate and discuss the top issues of the day in a place of serene beauty.

On Friday, that meant the July jobs numbers from the U.S. Department of Labor, which showed the unemployment rate unexpectedly rising to 8.3 percent (a loss of about 195,000 jobs), while businesses ramped up hiring to create 163,000 more jobs ? far more than economists had predicted.

The economists on hand Friday said it?s dangerous to try to glean too much information from the seemingly contradictory trends in job creation and unemployment claims.

?Any month?s data is a mixture,? Kotok said. ?There?s great danger in presuming a trend, but it was stronger than people expected. The stock market obviously celebrated.?

Martin Barnes, chief economist for BCA Research in Montreal, said economic data are sufficiently varied that there is evidence to back up bullish or pessimistic predictions.

?Economists will tell you the numbers mean recovery, but for a lot of people it doesn?t feel like it,? he said, referring to the steady unemployment rate hovering around 8 percent. ?It?s still tough out there.?

For the first time, Camp Kotok welcomed Maine?s governor to Leen?s Lodge for dinner. Perhaps because LePage was their guest, those in attendance were hesitant to offer specific opinions on the governor?s plan to hold off on issuing voter-approved bonds until 2014 in an attempt to pay down Maine?s debt. LePage has come under criticism from some lawmakers and towns who say his refusal to borrow money is hurting their recoveries.

Said Kotok: ?All other things equal, of course paying down debt is desirable. So one could argue that?s a sound policy.?

John Mousseau is managing director of Kotok?s Cumberland Advisors. He said that even if paying down debt is always a good plan, it makes sense that some individual municipalities take umbrage with LePage?s across-the-board bond freeze.

?All politics are local, and local people want to make local decisions,? he said. ?There?s a rationale to [LePage?s stance], but what?s good for Kennebunkport may not be good for Lewiston.?

One municipality that?s not hurting, at least this month, is Grand Lake Stream. The annual finance summit at Leen?s Lodge is a boon for the small town.

One guide on retainer for the finance gurus was Mark Gray of Bangor. He estimated that Kotok?s yearly excursion brings in about $200,000 between lodge fees, food, excursions and guide pay.

?This is a big deal, dollars-and-cents wise,? he said. ?It?s a big shot in the arm to the local economy.?

Charles Driza, owner of Leen?s Lodge, said Camp Kotok is the most important event of his year, from a business standpoint.

?It sort of stretches our capacity. David literally fills every bed we?ve got,? Driza said.

?It?s a big buzz around here,? said Deb Cochran, an employee at Pine Tree Store, a trading post a few miles from the lodge. ?It brings attention to Grand Lake Stream. If you?re not a fisherman, we?re kind of out of the way. So it?s some good attention.?

According to a local guide, Charles ?Kim? Vose, Kotok is all too happy to help. He recalled a conversation he had with Kotok last year that stuck with him.

?Last year, I asked David why he comes back here every year,? he said. ?He told me, ?Because you guys treat us like [expletive]. You make us gut fish, we get eaten by bugs, and you never, ever ask us how much money we make.??

Kotok said that even though the event gets more attention every year, it still feels like a vacation.

?They keep liking it,? he said of his comrades. ?They come back every year.?

In tandem with this is the reward mechanic. You reap what you sow with such titles. Without such pedestrian concerns as missions to clear, the joy of succeeding in a personal goal is almost peerless. The triumph of marrying a guy, after a protracted courtship opening less-than-auspiciously when you wet yourself on his priceless Persian antique rug, is extraordinary. The lure of fabricated lives may be inexplicable, but it?s a cogent force for many. It may also elucidate the continued success of such reality television tripe as Big Brother. (The contestants are, almost to a one, so vacuous that they leave me yearning for that half-witted gorrila neighbour from Animal Crossing.)

Procter & Gamble posts quarterly profit, plans buybacks

(Reuters) - Procter & Gamble Co posted a drop in quarterly sales on Friday, just weeks after the world's largest household products maker took the blame for its disappointing performance and said it was focusing on ways to improve.

The results will be closely watched for any early signals of how well P&G and its current leadership can fix a long list of problems, especially after activist investor William Ackman stepped in and bought about $1.8 billion worth of its shares.

The maker of Pampers diapers and Tide laundry detergent also said it would repurchase $4 billion worth of its shares this fiscal year, reversing June comments that it did not expect to do so.

P&G earned $3.63 billion, or $1.24 per share, in the fourth quarter ended on June 30, compared with $2.51 billion, or 84 cents per share, a year earlier.

Core earnings of 82 cents per share, in line with a year earlier, topped the high end of a forecast P&G gave in June.

Sales fell 1 percent to $20.21 billion.

Plant-based compound slows breast cancer in a mouse model

ScienceDaily (Aug. 2, 2012) ? The natural plant compound phenethyl isothiocyanate (PEITC) hinders the development of mammary tumors in a mouse model with similarities to human breast cancer progression, according to a study published August 2 in the Journal of the National Cancer Institute.

Edible plants are gaining ground as chemopreventative agents. PEITC has shown to be effective as a chemopreventative agent in mice for colon, intestinal, and prostate cancer, by inducing apoptosis.

In order to determine the efficacy of PEITC in mammary tumors in mice, Shivendra V. Singh, Ph.D., of the University of Pittsburgh Cancer Institute and colleagues, placed mice on two diets: a control diet, and a diet supplemented with PEITC for 29 weeks. The researchers performed histopathological assessments, and measured the incidence and size of the mammary tumors, along with cell proliferation, apoptosis, and neoangiogenesis, which were determined in tumor sections.

The researchers found that administering PEITC for 29 weeks was linked with a 56.3% reduction in mammary carcinoma lesions greater than 2mm. "Although PEITC administration does not confer complete protection against mammary carcinogenesis, mice placed on the PEITC-supplemented diet, compared with mice placed on the control diet, clearly exhibited suppression of carcinoma progression," the authors write. PEITC was also well-tolerated. Since chemoprevention trials are both expensive and time-consuming and necessitate years of follow-up, the authors feel that, "The discovery of biomarker(s) associated with exposure and activity is critical for clinical development of promising cancer chemopreventative agents." This study was able to identify certain biomarkers that may be useful in future clinical investigations.

The authors also point out certain limitations of their study, namely that the results may be different in humans than in mice; also both the relevance of other altered proteins from PEITC and the mechanism by which PEITC causes apoptosis are unclear.

Ousted CEO sues Tuesday Morning for discrimination

(AP) ? The ousted CEO of retailer Tuesday Morning Corp. has filed discrimination charges against the company, saying she was sent packing after the board learned she had breast cancer.

Kathleen Mason also is seeking unspecified damages and her old job back. The discrimination charges were filed with the Equal Employment Opportunity Commission in Dallas.

Tuesday Morning said in a statement that Mason's termination was lawful. It also said the accusation was without merit and intends to defend itself against the claims.

Mason's attorney, Rogge Dunn, said board members' attitude toward Mason changed after she disclosed she had cancer. He says one board member even made a sarcastic comment about her wig.

The Dallas-based discount retailer announced in June that it was firing Mason, who had been CEO since 2009. It lowered its financial outlook at the same time.

In announcing Mason's firing, the company said it was time to transition leadership to a "new executive who will guide the company through its next stage." It promoted Michael Marchetti, its executive vice president and chief operating officer, as interim CEO. Mason said at the time that she was surprised by the move.

Tuesday Morning, which sells closeout housewares and home decor, reported in April that its third-quarter loss widened as fewer people visited its stores and bought less each visit. The company had planned to revamp its website and improve its marketing to help improve slowing sales.

Dunn says that Mason informed the board of her cancer so they wouldn't be alarmed if she began losing her hair or growing gaunt as a result of treatment. But he said the board's attitude toward Mason soon began to change and she was fired less than three months later.

Board members started contacting Mason's subordinates directly, which they hadn't done before, Dunn said. In March, he said one board member made a sarcastic comment about how nice Mason's hair looked; she was wearing a wig at the time.

"One of the reasons Kathleen is doing this is not just for herself, but for others in the workplace," Dunn said. "A lot of times there's overreaction and misunderstanding by employers about cancer."

NBC research undercuts assumptions over tape delay

(AP) ? NBC's researchers are finding that people who know the results of London Olympics events before they are shown on tape delay are more ? not less ? likely to watch them.

The preliminary research unveiled Thursday undercuts an assumption that has guided production of Olympic broadcasts from locales outside of U.S. time zones for decades. NBC has been criticized for not televising live some of the London Games' marquee events like swimming and gymnastics so they can be aired later in prime time.

Two-thirds of people questioned in a survey Sunday said they watch the prime-time Olympics telecast even if they know the results ahead of time. People who watched the events live earlier in the day via computer screen watched the tape-delayed broadcast 50 percent longer than those who hadn't, said Alan Wurtzel, NBC's chief researcher.

NBC has been getting far better ratings for the London Games than it ever expected, outpacing the 2008 Games in Beijing. A month ago, NBC had predicted it would lose some $200 million on the games, but network executives said Wednesday the company would break even. NBC Sports Chairman Mark Lazarus said Thursday the company could even make money if the good ratings continued.

The network is airing all of the competition live via video stream. But the network's decision to hold back big events because no live competition takes place during U.S. prime time has led to widespread complaints on social media. The longtime theory was that fewer people would watch in prime time if they could see them live earlier.

Lazarus held back when asked whether this would mean tape delay will become a thing of the past after the London Games.

"We will continue to innovate our coverage," he said on a conference call Thursday. "I won't make a proclamation here about what we are going to do, but be sure we are analyzing everything."

The company Usamp questioned 1,000 adults who said they had watched Olympics competition. The survey found that 43 percent of the people who watched the prime-time telecasts said they knew the results before tuning in.

Wurtzel said that the Olympics are encouraging consumers to try new things. Some 75 percent of people who said they had tried streaming Olympics coverage on tablets said they had never streamed video before on the devices.

Olympics viewership was up 28 percent among teenagers over Beijing, even more sharply among teenage girls.

"Why is this important? Wurtzel said. "Because we're cultivating the next Olympics generation."

After days of bad headlines prompted by gaffes?Romney?made in England and Israel and criticism from foreign leaders, the final leg allowed?Romney?to both highlight foreign policy contrasts with President Barack Obama on issues such as missile defense and to court swing-state voters of Polish descent or the Catholic faith.

Emphasizing the deep ties of friendship between America and?Poland?and expressing his appreciation toPoland?for standing beside the U.S. in conflicts over many generations, including the wars in Iraq and Afghanistan,?Romney?said he was inspired by ?the path of freedom tread by the people of?Poland.?

?Our nations belong to the great fellowship of democracies. We speak the same language of freedom and justice,? he said in a speech at the library of the University of Warsaw. ?I believe it is critical to stand by those who have stood by America. Solidarity was a great movement that freed a nation. And it is with solidarity that America and?Poland?face the future.?

The three nations that he visited ? England, Israel and?Poland?? were far apart on the map, he said, ?but for an American, you can?t get much closer to the ideals and convictions of my own country than you can in these places.?

The two-day visit to?Poland?was marred Tuesday when a?Romney?press aide cursed at reporters who shouted questions at?Romney?as he walked across a plaza to his car after laying a wreath at the Tomb of the Unknown Soldier. The aide later apologized.

But it was a far less consequential bit of negative publicity than the gaffes?Romney?made on the trip ? questioning Britain?s preparedness and excitement for the Olympic Games and musing during a fundraiser in Israel about how the economic disparities between neighboring countries, including Israel and the Palestinian areas, show the ?power? of ?culture.?

Democrats argued that the trip showed?Romney?was ill-prepared to represent the United States on the international stage.

?He both offended our closest ally and triggered a troubling reaction in the most sensitive region of the world,? senior Obama adviser Robert Gibbs told reporters. ?He certainly didn?t prove to anyone that he passed the commander-in-chief test.?

The?Romney?campaign insisted that the trip was a success, and that voters at home would not be concerned by any missteps.

?I think people understand that big elections are about big things. ... This is not a race that has been affected by small things at all. I think it means absolutely nothing to the people at home because it has no relevance to their life. It doesn?t matter,? said chief strategist Stuart Stevens. ?If the mayor of London is saying something. ... It?s not what people are looking for.?

Class of 2012: Europe's young pursue dreams abroad

MADRID (AP) ? Santiago Oviedo, a lanky 24-year-old from Madrid, is on track to get his master's in physics in October ? a crucial milestone in his dream of becoming a researcher probing the origins of the universe.

Spain won't benefit from his big brain.

Because of education spending cuts and Spain's downward economic spiral, Oviedo is planning to emigrate to Britain, France, the Netherlands or Germany to get his Ph.D. or work at a company that lets him do research. He's afraid he may never work or raise a family in his country.

If he had graduated two years ago, Oviedo would have stood a good chance of landing a government-funded scholarship and grant for four years of doctoral study and research. That has evaporated in an austerity drive that has brought slashed budgets for scientific research and waves of layoffs at companies large and small.

With Spain's unemployment rate for people under 25 at an astonishing 53 percent, young Spaniards are leaving the country in droves to carve out a brighter future. Most seek jobs, but some, like Oviedo, are leaving because the government is struggling to afford to develop their minds.

Since 2009, when Europe's financial crisis hit full-bore, the number of Spaniards in their late teens, 20s and early 30s leaving the country has increased 52 percent ? from about 12,500 to nearly 20,000 according to the government statistics agency. Young and talented Europeans from other hurting eurozone nations ? Greece, Ireland, Italy and Portugal ? are also abandoning home not only for stronger European countries but surging former European colonies in Africa, Asia and the Americas.

Oviedo is set to join a growing number of young Spaniards giving up on Spain, a nation that had visions of grandeur during a decade-long property boom but which is now teetering on the edge of financial collapse.

"I don't want to go away forever, but looking at the situation how it is now, maybe that will happen," said Oviedo, who heads to every Madrid anti-austerity protest he can fit in with his studies. He blames politicians for immersing Spain in its misery.

In addition to education spending cuts, Spain last December eliminated its Ministry of Science and Innovation to save money, making it a division of the Economy Ministry. In May, the country saw a tide of protests against the education squeeze by university students and teachers, some of whom clashed with police.

"Science isn't a priority now in Spain," Oviedo said. "The economy is terrible. A couple years ago we had a really good public health and education system, but now they are destroying it all. When I have children, I don't want them to live here if they don't have the things I have enjoyed."

Oviedo's fears mirror those of Spanish architecture student Rafael Gonzalez del Castillo, one of the five European students whose lives The Associated Press is tracking in the Class of 2012 project.

"I see myself working abroad," said Gonzalez del Castillo, as do many of his 25 architecture classmates at his elite Madrid university. "I don't know where. It doesn't matter where."

The long-term toll could be sinking competitiveness as crisis-hit countries lose many of their best and brightest amid already falling birth-rates ? a potential formula for a vicious circle of economic agony. But countries like Spain could benefit if young emigres return because they would bring back better work and language skills that would help fix low productivity, said Gayle Allard, an economist with Madrid's IE Business School.

"If they come back it will be for the good of the country," said Allard. "If they don't come back, this is a tragedy,"

Across the border from Spain, the number of Portuguese heading to former colonies Brazil and Angola for work has increased sharply since 2008. The trend has accelerated since last year when Portugal got a bailout of its public finances, according to statistics based on consulate and embassy registrations. Portugal's prime minister suggested last year that unemployed teachers should consider heading to former colonies for work. The country doesn't track youth emigration, but researchers say it is rising.

One of Gonzalez del Castillo's friends is a 26-year-old Spanish civil engineer who graduated last October, and moved to Brazil last month after a six-month job hunt in Spain that netted not a single job interview. She represents a sharp reversal for countries like Spain and Portugal, which for decades were on the receiving end of migrants from Latin America.

She has already had better luck in the booming business hub of Sao Paulo, getting an interview within two weeks of arriving. The woman did not want her name revealed because she entered Brazil on a tourist visa and fears she could be deported if caught seeking work.

In bailed-out Ireland, emigration has become a defining national characteristic. More than 76,000 people left last year, representing 1.7 percent of the population. They joined 200,000 who have departed since 2008 at the end of a property boom-gone-bust similar to Spain's. Their top destinations are Britain, Australia, Canada and the United States. Official statistics show that the vast majority of those leaving are in their 20s and 30s.

Orla Kelleher, executive director of the Aisling Irish Community Center in Yonkers, New York, said the volume of newly arrived Irish jobseekers had multiplied six times "if not more" since 2009, following the implosion of the Celtic Tiger economy.

Brian Whelan, 28, moved to London from Dublin two years ago after being recruited to work on the Irish pages of the Yahoo news site. Many of his Dublin friends are living outside the country, many in Canada.

"If I hadn't landed a job in advance I'd have been heading to London anyway," said Whelan, who now works as a freelance journalist. "Irish people are not having any difficulty landing jobs abroad. It's often the best and the brightest who are going abroad. Some of the best trained and most able young people are leaving because Ireland can't afford to keep them."

Italy, whose decaying economy may soon need a bailout, has long been bleeding much of its finest talent as rigid labor laws and chronic cronyism force highly skilled young people abroad. Italy doesn't track how many citizens leave, but the country's statistics agency said the number of Italians with college degrees living abroad rose from 8.3 percent in 2001 to 15.9 percent in 2010.

Maria Adele Carrai, 26, got her bachelor's degree in Chinese language and culture in Rome, graduating at the top of her class, and went on to complete a master's in Venice focusing on Asian languages, economics and legal institutions. When she finished, she could find only low-paying work as an Italian-Chinese translator for a court that always paid her late ? or not at all. She did freelance translation on the side, making ?5 ($6) an hour.

Carrai would rather be home but left Italy for Hong Kong, where she's doing her Ph.D.

"That's the only way to become economically independent," she said. "Italy is an unthinkable destination right now."

Oviedo, the physics master's candidate, thinks he would probably be able to land a well-paid job in Madrid, where large banks pay good money for math whizzes like him to be analysts, known as "quants," and design complex trading formulas.

Oviedo says he would hate himself if he used his math skills to help big banks profit off the financial crisis.

"I don't want to do that job. It would be like helping the enemy," he said. "They have destroyed the world. I see the results every day in Spain."
