Goodell lays down guidelines to NFL teams hoping to move to L.A.

NFL Commissioner Roger Goodell sent a memo about Los Angeles to the league's 32 teams Friday ? one that surely resonated with the San Diego Chargers, Oakland Raiders, St. Louis Rams and any others that might be considering relocation to the nation's second-largest market.

"Although substantial uncertainties remain," Goodell wrote in the two-page document obtained by The Times, "stadium development in Los Angeles has advanced to the point where the prospects for a new facility are better than they have been in many years."

The purpose of the memo does not appear to be driven by any plans that might be imminent. Rather, NFL insiders say, the commissioner felt it was appropriate to set and restate some ground rules, foremost among them:

It's the league ? and not an individual team ? that will control the relocation process.

In making that point, Goodell put in writing what was discussed by owners at a May meeting in Atlanta and lays down rules for moving back to a market that has been without an NFL franchise since the Raiders and Rams left after the 1994 season.

That the memo refers specifically to the 2013 season does not necessarily mean the league is ready to reenter the market immediately, but it does underscore how seriously the NFL is considering the current opportunities. In order to be considered for relocation, Goodell wrote, a team must submit its application to do so between Jan. 1 and Feb. 15 of 2013.

What the league doesn't want is a team making the unilateral decision to relocate to L.A. intending to play in the Rose Bowl or Coliseum for a few years with the hope of moving over to a new venue once a stadium solution is found. The guidelines are partly intended to discourage squatting on the market.

Among the relocation candidates are the Chargers, Raiders, Rams and Jacksonville Jaguars, although new Jaguars owner Shad Khan has said he's committed to staying put. At this time, the league is not considering expansion.

Raising the long-held league belief that L.A. is a two-team market, Goodell wrote: "Consistent with our long-standing view, we have made it clear that any stadium seeking investment support from the 32 member clubs should preserve a viable option of being able to host two teams at appropriate times and on appropriate terms.

"The overall goal, as we have frequently said, is to ensure that any league re-entry to the Los Angeles market is as successful as possible, both for the club or clubs that will play there and for the league as a whole."

Goodell specifically made reference to the AEG proposal in downtown L.A. and Ed Roski's concept in City of Industry. He said the competing plans both have the ability to include ancillary entertainment opportunities such as a hall of fame, NFL Network studio, youth football facilities and the like.

Goodell wrote: "We are also exploring the availability of other sites in the Los Angeles area." Those sites are believed to be in Carson, at Hollywood Park and around Dodger Stadium, where proposals have been pitched in years past.

Goodell wrote that issues such as approval to relocate, assessment and terms of a relocation fee, financial commitments from the league for stadium construction, and Super Bowls awarded must come from the full membership of teams. Any such approval would require a three-quarters vote of membership, or at least 24 teams.

According to the guidelines, a team that intends to relocate must:

?Negotiate a deal with an alternative site ? in this case the Coliseum or Rose Bowl ? that can play host to games while a stadium is being constructed, and keep the league fully apprised of every step in those negotiations.

?Submit within the first 1 1/2 months of 2013 an application to relocate. "If no application is received for the 2013 season," Goodell wrote, "we will consider when and under what circumstances clubs may apply for consent to relocate in a future season."

?Evaluate all stadium opportunities in its existing market, and consult with league staff on those. Unstated by Goodell, but implied by the league, is that the Raiders, for instance, would have to explain why it would be more practical to relocate than share a stadium in Santa Clara with the 49ers.

?Show that it not only has an appropriate stadium solution in the L.A. market but one that has in place a marketing plan, naming rights, and can make financial guarantees to the league.

Goodell wrote that any application to relocate will be acted on as soon as possible, but that it's unlikely any vote would be taken before the annual meeting in March 2013.

NPE Tessera to Manufacture Next Generation Miniature Cameras ...

Tessera Technologies, Inc. (NASDAQ: TSRA) announced yesterday that its wholly-owned subsidiary, DigitalOptics CorporationTM (?DOC?), has completed its acquisition of some of the assets of Vista Point Technologies, a Tier One qualified camera module manufacturing business, from Flextronics International Ltd. (NASDAQ: FLEX). DOC expects to acquire additional assets from Flextronics at a second closing, which is scheduled to occur on or before March 31, 2013.

Yesterday?s announcement follows the Tessera announcement made onMarch 2, 2012, announcing the signing of the definitive agreement to acquire the assets mentioned above.

What is this all about? There is an ongoing, yet largely under the radar, war being waged against innovative companies that do not also manufacture. As if merely innovating is something evil, those in Silicon Valley that choose infringement over designing around or licensing constantly seek to whittle away at patent rights and constantly attempt to make patent enforcement more difficult. So is this Tessera?s response to the claims that they merely innovate and don?t manufacture?

In March 2012, it was announced that DOC would pay approximately $23 million in cash, subject to certain adjustments and costs at closing, for certain assets of Flextronics?s camera module business located in Zhuhai, China, along with the equity interests of a wholly-owned foreign enterprise that will own those assets (together, the ?Zhuhai Camera Module Business?). The transaction, round 1 of which just closed, includes existing customer contracts and a lease to an approximately 135,000-square-foot facility. DOC anticipates that the business will have a capacity to manufacture approximately 50 million camera module units per year.

?The Zhuhai Camera Module Business will allow us to drive rapid market introduction of DOC?s next-generation technology in a manner that complements our existing collaborations with camera module makers. We believe our approach is the best way to address the requirements of Tier One OEM manufacturers, which require that camera modules be delivered through dual sourcing from high-volume manufacturing facilities,? said Robert A. Young, president and chief executive officer, Tessera Technologies, Inc.

?This transaction is a critical step in our strategy of transforming DOC from an optical and image enhancement software and components business into a Tier One qualified, vertically integrated supplier of next-generation camera modules to the $9-billion market for mobile cameras,? Young continued. ?In parallel, we continue to have active discussions with multiple Tier One OEM manufacturers of mobile phones regarding our MEMS autofocus product, and remain on track to obtain a design win in the first half of 2012 and to begin high-volume manufacturing in the fourth quarter of 2012,? said Young. ?We believe our disruptive MEMS autofocus technology will offer a uniquely competitive replacement for the magnetic voice coils in use today, while enabling cameras that are thinner, faster, have more accurate lens positioning and use far less battery power. Our goal is for DOC to become profitable in 2013.?

?These assets will enable DigitalOptics Corporation to significantly increase sales of the imaging technologies we?ve acquired and developed over the past five years. Our strategy is to combine our breakthrough autofocus solutions with our other proprietary technologies so that DOC will become a leading supplier of integrated camera modules in the mobile phone market,? said Bob Roohparvar, president of DigitalOptics Corporation. ?The acquisition of the Tier One qualified Zhuhai Camera Module Business provides DOC with a world-class, cost competitive facility that has the necessary production capabilities for DOC to assemble camera modules in volume, and a well-trained team of engineers and manufacturing employees.?

Of course, a benefit of this transaction will be to get Tessera into the manufacturing business, which could bring with it large profits. ?It will also help insulate them against the whining of the Silicon Valley elite who would rather infringe patents. Tessera will be in the business of making things, which means at least one arrow has been (or will be) removed from the quiver of the ?we infringe because we can? faction of the Silicon Valley elite.

But wait, there is more. ?In addition to developing technologies to enhance optical imaging ? including software that helps mobile phone cameras to correct hand motion or to improve the autofocus functions ? DOC has been developing its capacity to oversee the high-volume manufacturing operations required by mobile phone makers. DOC?s steps in the past year have included hiring more than a dozen executives and managers who have experience in engineering scale-up as well as in manufacturing at similar facilities. ?They have been busy indeed.

?By adding this manufacturing capability, we will improve our ability to make and sell unique mobile camera modules with differentiated technology that can generate superior market demand,? said Roohparvar. ?As we take control of this existing operation, we will have greater ability to predictably develop and ramp new generations of products.?

In February 2012, Bernie Cassidy wrote several op ed articles published on IPWatchdog.com relating to efforts to make it more difficult for innovators at the International Trade Commission. ?In the first of this two op ads Cassidy wrote:

Exactly why NPEs should have their constitutionally-protected rights curbed will not be made very clear. Instead, efficient infringement representatives will try to delegitimize the entire class of inventors who have neither the capital nor the business model to commercialize their own inventions by name-calling. They will call such inventors and their agents ?patent trolls.?

The entire campaign to make identity-based determinations of intellectual property rights is a vast effort to transfer wealth in a manner contrary to our nation?s fundamental principles and historical economic success. For it turns out that NPEs are as American as apple pie and have always been central to U.S. economic growth. Indeed, patent and legal records from the golden age of American invention in the 19th century indicate that?more than two-thirds of the 160 so-called ?great inventors? of the Industrial Revolution?? including Thomas Edison ? were NPEs.

Indeed, Thomas Edison today would be vilified by some as a patent troll, or by others as an NPE?? non-practicing entity. ?In fact, Edison was the premier innovator of his generation and still regarded as the most successful American inventor ever. ?Was Thomas Edison a patent troll or an NPE? ?I suppose if you consider those that are merely innovators as patent trolls and NPEs then he would be guilty as charged. ?Absurd!

While it likely wasn?t the only motivation, it would be naive not to recognize the obvious reality that while this will significantly raise their bottom line it will also provide litigation advantages. ? Nevertheless, the reality is that Tessera and others shouldn?t have to explore manufacturing solely for the purpose of insulating themselves from ridiculous, asinine arguments by those in Silicon Valley who couldn?t innovate their way out of a wet paper bag. ?Having said that, if you are merely an innovator, patent troll, NPE or whatever you want to call it you really need to consider developing at least some manufacturing capabilities.

If you are a NPE, patent troll or just a mere innovator and you are not pursuing at least some manufacturing capabilities what?exactly are you doing? Not having a strategy is simply not an option for innovators in an age where merely innovating is regarded with derision.

Back in my native Azerbaijan, stuffed grape leaves are everyone?s favorite food, making them possibly as common as burgers and fries are in America ? a staple at every local eatery and in every home.

US consumer spending and wages flat in May

WASHINGTON (AP) ? U.S. consumers spent no more in May than in April after seeing almost no gain in their pay. The lack of growth in consumer spending and wages suggests that a faltering job market is slowing the economy.

The Commerce Department said Friday that consumer spending was unchanged in May. Income growth edged up 0.2 percent, but that was mostly because of gains from investments. Wages, the largest component of income, were essentially flat.

Americans cut back spending on cars and other long-lasting manufactured goods, even though they paid less for gas. Consumers did increase how much they spent on services for the second straight month, one of the few positive signs.

The government also said spending after adjusted for inflation was weaker in April and March than first thought.

Consumer spending drives roughly 70 percent of economic activity. The mostly disappointing report suggests growth in the April-June quarter could be weaker than the previous quarter's modest 1.9 percent annual pace.

Paul Dales, senior U.S. economist for Capital Economics, said annual growth in the second quarter could be closer to 1.5 percent.

Job growth has tumbled in the past two months. Consumer confidence has fallen. And growth in manufacturing has slowed, in part because Europe's financial crisis has dampened demand for U.S. exports.

Some economists are hopeful that lower gas prices could lead consumers to spend more this summer.

"Looking ahead, the recent fall in gasoline prices will soon boost real consumption," said Dales. "But a sustained and significant acceleration in consumption growth cannot take place without faster jobs growth too."

Consumer spending on autos and other durable goods fell 0.4 percent in May. Spending on non-durable goods dropped 0.8 percent, mostly because of the lower gas prices.

The declines were offset by an increase in spending on services, which include everything from doctor's visits to rent payments. Service spending rose 0.3 percent in May, the second straight increase.

Joel Naroff, chief economist for Naroff Economic Advisors, said the gains in spending on services are notable because services account for two-thirds of spending and nearly 45 percent of economic activity.

Still, unless pay increases, consumers are likely to remain cautious about spending, he said.

"For people to get back into the malls and showrooms incomes will have to rise faster than we are seeing," Naroff said. "The big problem is wages, which are simply flat lining."

Even though wages didn't rise, Americans had more money to spend in May. After deducting taxes and adjusting for inflation, income rose 0.3 percent ? the biggest monthly increase for that category in two years. It largely reflected the sharp drop in gas prices that has lowered inflation.

Prices tied to consumer spending fell 0.2 percent in May, the biggest drop since June 2010. Excluding volatile food and energy, prices were up a slight 0.1 percent in May and have increased 1.8 percent over the past 12 months. That's below the Fed's 2 percent target for inflation, which gives the Fed more leeway to take steps to boost the economy.

The saving rate increased to 3.9 percent of after-tax income in May. That's up from 3.7 percent in April and the highest level since January.

Gas prices have fallen sharply since peaking in early April at a national average near $4 per gallon. The nationwide average for a gallon of regular was $3.37 on Thursday, according to AAA's daily fuel gauge report.

If gas prices stay low, Americans will have more money to spend this summer on other goods, from autos and furniture to electronics and vacations, that fuel economic growth. Gasoline purchases tend to provide less benefit for the U.S. economy because some of the money goes to oil-exporting nations.

Consumer confidence fell in June for the fourth straight month, according to a closely watched survey from the Conference Board. Worries about the job market have outweighed the benefits of cheaper gas and a gradually improving housing market.

Employers added an average of only 73,000 jobs a month in April and May. The followed three months when the economy created an average 226,000 jobs a month.

The weak job market was a key reason the Federal Reserve last week downgraded its outlook for growth this year. It now expects growth of between 1.9 percent and 2.4 percent in 2012 ? half a percentage point lower than its April forecast.

Wikileaks: Assange decision in 'hours or days'

LONDON (AP) ? Julian Assange spent a third day inside Ecuador's London embassy Thursday, as hopes appeared to recede of an imminent end to a bizarre legal and diplomatic standoff sparked by the WikiLeaks founder's request for political asylum.

Ecuador's deputy foreign minister, Marco Albuja, told the Australian Broadcasting Corporation late Wednesday that President Rafael Correa would make a decision within the day.

But WikiLeaks spokesman Kristinn Hrafnsson said "it could take hours, it could take days" before a decision was made.

Speaking after visiting Assange Thursday, he said Ecuador had asked for information from Britain, Sweden and the United States and would study it before making a decision.

Ecuador's London embassy confirmed a decision was expected from Ecuador's capital, Quito, but spokeswoman Priscilla Kohn said it was unclear whether it would come Thursday.

Journalists and a handful of WikiLeaks supporters had gathered outside the Edwardian building that houses the embassy in London's Knightsbridge district in anticipation of a resolution to the saga.

A divisive figure with a knack for garnering attention, Assange has been fighting since 2010 to avoid extradition to Sweden, where he is wanted for questioning over alleged sexual assaults on two women. He denies the claims, and says the case against him is politically motivated.

His supporters say he fears charges in the United States for leaking hundreds of thousands of secret U.S. documents via the secret-spilling WikiLeaks website.

A U.S. soldier, Pfc. Bradley Manning, a 24-year-old Crescent, Oklahoma, native, has been charged with aiding the enemy by passing the secret files to WikiLeaks and is awaiting trial.

Per Samuelson, one of the WikiLeaks founder's two Swedish lawyers, said Assange "feels that he's persecuted politically by the U.S." for revealing American war crimes.

"He is convinced that the U.S. is preparing charges," he said. "He feels that his asylum application is not about the crime accusations he faces in Sweden, but is about getting protected from the U.S."

Supporters say the WikiLeaks chief believes that if he was extradited to Sweden he would then likely become the target of a U.S. request to extradite him there on allegations linked to his secret spilling. Many legal experts dismiss the idea as paranoid and fanciful.

Assange's dramatic asylum bid took many of his supporters ? and even his lawyers ? by surprise. Samuelson said he had not been informed about Assange's plans until the 40-year-old Australian had already entered the embassy.

The lawyer said Assange was camping out "in an office that has been prepared with overnight sleeping facilities."

"I don't get the feeling that they (embassy staff) are in a hurry to get rid of him. He's welcome there," said Samuelson, who met with Assange Wednesday.

British officials say Assange is beyond their reach in the embassy, but that he will be arrested if he leaves for breaching his bail conditions, which include an overnight curfew at a registered address.

Hrafnsson said Assange was "in good spirits" and prepared to wait things out in the embassy.

"He will stay until this matter is settled," Hrafnsson said. "I assume that if asylum is not granted, he will leave."

Even if Assange is granted asylum, it is unclear how he could leave the embassy without being arrested by British police. Legal experts say he would forfeit the embassy's protection the moment he steps out of the door.

Assange has exhausted legal appeals against extradition in Britain, but has until June 28 to apply to the European Court of Human Rights in Strasbourg, France.

The left-leaning Correa, who has sought to reduce U.S. influence in Latin America, has praised WikiLeaks for exposing U.S. secrets and offered Assange words of support.

Correa said Wednesday that Assange had made it clear in his letter requesting asylum that "he wants to continue his mission of free expression without limits, to reveal the truth, in a place of peace dedicated to truth and justice."

Some have questioned Ecuador's commitment to freedom of speech. Correa's government has been assailed by human rights and press freedom activists for using Ecuador's criminal libel law in sympathetic courts against journalists, including some from the country's biggest newspaper, El Universo.

NEW YORK (AP) ? A batch of weak economic reports sent stocks lower Thursday. The worst of the bunch was a regional manufacturing index that sank for the second straight month.

The Philadelphia branch of the Federal Reserve reported that manufacturing in the Northeastern U.S. slumped this month, pulled down by drops in new orders and shipments. Economists had expected no change in the index. It was the worst reading since last August.

The Dow Jones industrial average fell 144 points to 12,676 shortly after noon Eastern time. Aluminum maker Alcoa led the Dow lower, falling 3.7 percent. Alcoa's stock lost 32 cents to $8.60.

The Standard & Poor's 500 index lost 18 points to 1,337. The drop in the two stock indexes wiped out their gains for the week.

"The news has been horrible out there," said Uri Landesman, president of Platinum Partners. "The U.S. economy is slowing down. And China's growth is definitely under question."

In China, a gauge of manufacturing sank in June, pulled down by weaker orders for goods. A similar survey for countries that use the European currency also showed a contraction. The reports helped sink commodity prices. Copper and platinum fell 2 percent. The price of oil dipped below $80 for the first time since October.

Benchmark U.S. crude, on a steady slide since May, hit a low of $79.82 per barrel in morning trading.

The Nasdaq composite fell 44 points to 2,886. The technology-heavy index is still on track for its third straight week of gains.

Material and energy companies, whose fortunes are closely tied to economic swings, led eight of the 10 industry groups within the S&P 500 index lower. Utilities and telecommunication companies, which are considered defensive investments because of their reliable cash flows and rich dividends, edged higher.

The market got off to a weak start after the Labor Department reported a small drop in the number of people applying for unemployment benefits. Figures for the previous week were revised higher. Those are bad signs for the job market because they indicate that companies are still laying off workers.

A report on the housing market offered little help. The National Association of Realtors said Thursday that sales of previously occupied homes dropped 1.5 percent in May from the previous month.

In Europe, auditors calculated that Spain's troubled banks need as much as ?62 billion ($78.76 billion). A Bank of Spain official said this scenario was much less than the ?100 billion that the 17 countries in the euro currency union said they would provide for Spain's banking sector.

Among stocks making big moves:

? ConAgra Foods, a major food maker whose brands include Hebrew National and Chef Boyardee, gained 4 percent, leading the S&P 500. The company's adjusted earnings and sales topped Wall Street's expectations. The stock climbed 95 cents to $25.55.

? Bed Bath & Beyond plunged 15 percent, the most in the S&P 500. The retailer said it expects weaker earnings in the current quarter than analysts expected even though it reported better profits after the market closed Wednesday. Bed Bath & Beyond's stock lost $11.23 to $62.44.

? Red Hat slumped 5 percent. The largest provider of the Linux open source operating system for computers reported weak figures for deferred revenue. Red Hat's stock dropped $3.19 to $53.29.
